Terms of Service

Effective May 7, 2026

These Terms of Service ("Terms") form a binding agreement between you and Alias Summit LLC ("Alias Summit," "we," "us," or "our"), the publisher of Orderly, a productivity application that helps you capture tasks, plan your calendar, and run focus sessions on iOS and the web (collectively, the "Service").

By creating an account, downloading the app, or otherwise using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old to use Orderly. If you are between 13 and the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Orderly is not directed to children under 13, and we do not knowingly collect information from anyone under 13.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and the organization.

2. Your Account

To use most features of the Service, you will need an Orderly account. You agree to provide accurate, complete information when registering, to keep your credentials confidential, and to promptly notify us of any unauthorized use of your account.

You are responsible for activity that occurs through your account. We are not liable for losses caused by unauthorized use of your account that results from your failure to safeguard your credentials.

3. Freemium Model, Subscriptions, and Billing

Orderly is offered on a freemium basis. Core task management, calendar, and focus features are available without charge. Certain advanced features, increased limits, or premium content ("Premium Features") are available through a paid subscription ("Subscription").

Subscriptions purchased through the Apple App Store are billed by Apple and governed by your agreement with Apple, including auto-renewal until cancelled in your App Store account settings. Subscriptions purchased on the web are billed through our payment processor and renew automatically until cancelled.

Prices, included features, and renewal terms are presented at the point of purchase and may change for future renewals with reasonable advance notice. Except where required by law (or expressly offered by us), payments are non-refundable, and partial-period refunds are not provided. App Store purchases follow Apple's refund policy.

If a payment fails or your account becomes overdue, we may suspend or downgrade access to Premium Features until the issue is resolved. Your free-tier access and your data will not be deleted because of a billing lapse.

4. License to Use the Service

Subject to your compliance with these Terms, Alias Summit grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal or internal business purposes. The Service, including its software, design, branding, and content we provide, is owned by Alias Summit or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law expressly permits despite this limitation.

5. Your Content

Tasks, projects, notes, schedules, and other content that you create or upload are "Your Content." You retain all rights in Your Content. You grant Alias Summit a worldwide, royalty-free license to host, store, transmit, back up, and display only the portions of Your Content that use Orderly's hosted services, solely as necessary to operate and secure those services.

Supported iOS content is synchronized through Supabase. The web task and project workspace is saved only in the current browser and is not uploaded to Supabase or synchronized to another browser or the iOS app.

You represent that you have the rights necessary to provide Your Content to the Service and that doing so does not violate any law or third-party right.

6. Acceptable Use

You agree not to use the Service to: (a) violate any law or the rights of others; (b) upload or share content that is infringing, defamatory, harassing, hateful, sexually exploitative, or otherwise unlawful; (c) attempt to disrupt, overload, or gain unauthorized access to the Service or its underlying systems; (d) use the Service to send spam or unsolicited communications; (e) misrepresent your identity or affiliation; or (f) build a competing product using the Service or its non-public features.

We may, at our discretion, remove content or suspend accounts that we reasonably believe violate these Terms.

7. Third-Party Services

Orderly relies on a small number of trusted third-party providers (for example, our database and authentication provider, push-notification services, and platform stores) to deliver the Service. We hold these providers to confidentiality and security obligations consistent with our own. Your use of integrations you enable (such as Apple Music) is also subject to those providers' own terms.

We are not responsible for third-party services that we do not control, and your use of them is at your own risk.

8. Privacy

Our Privacy Policy explains how we collect, use, and protect your information. By using the Service you also agree to the practices described there. We do not sell your information, and we do not share it with advertisers.

9. Termination

You may stop using the Service at any time and may delete your account from the in-app settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continued provision becomes commercially impracticable. Where reasonably possible, we will give you notice and an opportunity to export Your Content before deletion.

Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

10. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Alias Summit disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Orderly is a productivity tool and is not a backup service. In particular, the web workspace is stored only in each browser, so you should maintain your own backups of anything you cannot afford to lose.

11. Limitation of Liability

To the maximum extent permitted by law, Alias Summit and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Alias Summit from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any law or third-party right.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Jersey will have exclusive jurisdiction over any dispute that is not subject to arbitration, and you consent to personal jurisdiction in those courts.

Before filing a claim, you agree to first contact us in good faith to attempt to resolve the dispute informally. If we cannot resolve the dispute within sixty (60) days, either party may pursue formal proceedings.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will let you know through the Service or by email before the changes take effect. Continued use of the Service after the effective date of the updated Terms means you accept the changes. If you do not agree, you may stop using the Service and delete your account.
